Terms & Conditions

These terms and conditions apply to all quotations, assignments, hiring agreements and other agreements entered into by GRIP. op werk, statutory name Workpartners Noord Industrie Services B.V., registered at Filosofentuin 1, 2908 XA Capelle aan den IJssel, the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 51840243 (hereinafter: “GRIP.”).

 

Article 1 — Definitions

Staffing company: GRIP., being any natural person or legal entity that, in the exercise of a profession or business, makes temporary workers available to a client.

Client: the natural person or legal entity that instructs GRIP. to provide a temporary worker, to carry out recruitment & selection, payrolling, secondment, or to take on a contracted assignment.

Temporary worker: the natural person placed, seconded or payrolled by GRIP. to perform work under the direction and supervision of the client.

Agreement: any agreement between GRIP. and the client, including hiring agreements, mediation agreements and contracts for services.

CLA: the collective labour agreement for temporary workers applicable from time to time to the employment contract between GRIP. and the temporary worker (NBBU Collective Labour Agreement).

Article 2 — Applicability

2.1 These terms and conditions apply to every offer, quotation and agreement between GRIP. and a client, unless expressly and in writing agreed otherwise.

2.2 The applicability of any purchasing or other terms and conditions of the client is expressly rejected.

2.3 If any provision of these terms and conditions is void or is annulled, the remaining provisions shall remain in full force.

Article 3 — Quotations and formation of the agreement

3.1 All quotations and offers made by GRIP. are without obligation, unless expressly stated otherwise.

3.2 An agreement is formed at the moment the client accepts a quotation from GRIP. in writing (including by email), or at the moment GRIP. actually starts performing the assignment.

Article 4 — Making temporary workers available

4.1 GRIP. shall use reasonable efforts to select a temporary worker who, in GRIP.’s judgement, is suitable for the position described by the client, without GRIP. guaranteeing the suitability of the temporary worker.

4.2 During the assignment, the client exercises supervision and direction over the temporary worker and is responsible for complying with all statutory obligations relating to working conditions (Working Conditions Act), including providing instruction and making personal protective equipment available.

4.3 The client shall provide GRIP., prior to the start of the assignment, with accurate and complete information about the nature of the work, the required qualifications and the working conditions.

Article 5 — Rates and payment

5.1 The rates applied by GRIP. are based on the CLA wages, social security contributions and other statutory obligations applicable at the time the agreement is concluded, and may be adjusted in the interim if these change.

5.2 Invoices must be paid within the payment term stated on the invoice, failing which the client is automatically in default by operation of law and statutory commercial interest becomes due, without prejudice to GRIP.’s right to compensation for extrajudicial collection costs.

Article 6 — Liability

6.1 GRIP. is not liable for damage resulting from acts or omissions of the temporary worker, unless there is intent or deliberate recklessness on the part of GRIP. itself in selecting the temporary worker.

6.2 Any liability of GRIP. is limited to the amount paid out under GRIP.’s liability insurance in the case concerned, plus the applicable excess. If the insurer does not make a payment in any given case, GRIP.’s liability is limited to the invoice value of the relevant assignment over the preceding three months.

6.3 GRIP. is never liable for indirect damage, including consequential damage, loss of profit and missed savings.

Article 7 — Recruitment & selection and mediation

7.1 Where GRIP. mediates in the formation of a direct employment contract between the client and a candidate put forward by GRIP., the client owes the agreed mediation fee, regardless of when the employment contract is formed, provided that this obligation lapses if the employment contract is formed more than twelve months after the initial introduction.

7.2 GRIP. does not guarantee that a candidate put forward is suitable for the position or that an employment contract will be formed.

Article 8 — Legal position of the temporary worker

The employment contract between GRIP. and the temporary worker is governed by the CLA applicable at the time. The current CLA terms can be requested from GRIP. and consulted via the NBBU website.

Article 9 — Duration, termination and dissolution

9.1 Fixed-term agreements end automatically upon expiry of the agreed term, without notice of termination being required.

9.2 Agreements for an indefinite period may be terminated by either party subject to one month’s notice, unless otherwise agreed in writing.

9.3 Either party may dissolve the agreement, in whole or in part, with immediate effect if the other party, even after being given proper notice of default, fails to fulfil material obligations, or in the event of bankruptcy, suspension of payments or cessation of the other party’s business.

Article 10 — Governing law and disputes

10.1 These terms and conditions and all agreements between GRIP. and the client are governed exclusively by Dutch law.

10.2 Disputes arising from or connected with an agreement between GRIP. and the client will be submitted in the first instance exclusively to the competent court in the district where GRIP. is established, unless mandatory law provides otherwise.

Article 11 — Final provisions

11.1 These terms and conditions can be consulted at any time on GRIP.’s website and will be sent free of charge upon request.

11.2 GRIP. is entitled to amend these terms and conditions. Amended terms and conditions also apply to existing agreements, subject to a notice period of 30 days after the amendment is announced.
